It is important that you read the information below!
The Corporate Transparency Act & Beneficial Owner Information Reporting
By now, you must have heard about the Corporate Transparency Act (CTA) and Beneficial Owner Information Reporting. The CTA is a Federal law that was passed by Congress as part of the National Defense Authorization Act of 2021.
Any business entity formed by application with the State is subject to the Corporate Transparency Act.
These entities include:
· Corporations (both C and S status);
· Partnerships (both general and limited);
· Professional Corporations;
· Limited Liability Entities (in all forms including single member LLC’s)
The Corporate Transparency Act mandates that business entities disclose who the beneficial owners of the entity are unless they are exempt.
Entities who are exempt from reporting are tax-exempt entities; companies with more than $5million in gross receipts AND more than 20 full-time employees; entities who have never filed formation documents with the state such as trusts or sole proprietorships to name a few.
A beneficial owner of a reporting company is defined by the CTA as any individual who directly or indirectly (i) exercises substantial control over the entity or (ii) owns or controls 25 percent or more of the ownership interests of the entity.
The purpose of the CTA legislation is to assist the Financial Crimes Enforcement Network (“FinCEN”) in identifying entities that may be involved in money laundering, terrorism, tax evasion, organized crime, and other illegal activities.
The effective date of the Corporate Transparency Act is January 1, 2024.
This is a reminder that by January 1, 2025, all domestic US entities in existence before January 1, 2024 need to comply with the CTA legislation and file a BOI report if required.
*All new entities formed in 2024 are required to comply within 90 days. If you have not complied with this, the sooner you file the better. We don’t believe that the first year will be as strict with enforcement, but you still need to comply and file immediately if you have not.
You can file the BOI report on the FinCen website: https://boiefiling.fincen.gov/
Q & V Inc. will file the BOI report on your behalf upon your authorization: coordinating multiple beneficial owner personal information securely, managing and tracking report status. Please contact us if you would like to engage Q & V Inc. to file your entity’s BOI report. Please note, that the beneficiaries of the reporting will also include the CEO’s, CFO’s and management when filling out this information. Please reach out immediately if you need to engage our services to assist.
The penalty for failure to comply with the CTA reporting requirements is fines of no more than $500/per day if there is a willful failure to report complete beneficial ownership information. Such parties may be subject to aggregate fines of up to $10,000 or a prison term of up to two years.
We would be happy to assist you, so let us know if you would like us to engage our services. The fee for the service is $300 plus $70 filing fee if you choose to have us assist. If you have more than one owner or beneficiary or officer/manager that needs to be included the fee varies based on the need of the entity, so please reach out to discuss this.
If you do this yourself the link is above, and we request that you send us a copy to keep for our files. Please remember, you have to file all beneficiaries/owners, which will include managers, CFO, CEO’s and officers that are signers or have decision making duties, and you must include all partners with more than 25% ownership. If an entity has ownership in the company and has less than 25% but the owners in the entity has 25% or more, they are also included. I am happy to explain this in more detail as needed.
Thank you

" First of all, every day in this audience ("The View" June 25, 2024), it's a tough conversation to have. The truth is, everybody's gonna die at some point. Don't leave it for your kids to deal with. Get a PrePlan, make a will. Do not wait until you die. You're leaving people in pain at your loss, trying to figure out what you wanted. Tell people what you want before your demise." Whoopi Goldberg, author, comedienne, actress, EGOT winner (one of only 19), co-host of "The View."
Whoopi is right. However, a preplan is different from a will. A will is to state who you want to leave any property or money you might have. A Pre-Plan is for you to decide whether you want a traditional/casket or cremation. You can make the decisions now as to where you will be buried, or whether you want to be cremated and your ashes scattered, or whether you want a niche, a family plot, or have your own mausoleum, etc. With a Pre-Plan, you will be able to give peace of mind to those close to you and to yourself. Being prepared is an important part of the life you are living. I can help you prepare yourself for the inevitable no matter when it might arrive. Yes, you can take care of planning your end-of-life now and be sure that your loved ones will be able to follow your personal instructions. If you plan well in advance, you will prevent their suffering and sudden financial costs. Don't know where to start? Give me a call. I will help you with your Pre-Plan. You will be able to give peace of mind to those close to you and to yourself. Please call me today. I can help you just like I have assisted more than 10,000 Hawaii families and individuals make their plans for cremation or burial. And, if you travel often, you can also purchase a lifetime travel plan for $499 that, in case you should die while away from Hawaii, will pay to bring your body back – a procedure that can cost thousands of dollars and occurs more often than you may think. Thi s is something you can do that is positive and will be of help to family and friends alike.
A Pre-Plan is a very powerful thing to do. So please do this while you still can, and those who love you can celebrate your life with you now, not after it's too late.
